This course presents a study of corporate mergers and acquisitions from a transactional perspective. The mechanics of alternative acquisitions techniques are described and compared from the point of view of the target corporation and the acquiring corporation. Defensive tactics of target corporations are examined with reference to the legal standards governing their use. The corporate law concerns of the acquiring corporation are considered in both the friendly and the hostile acquisition. PREREQUISITE: Business Associations (105) NOTE: This course is not open to students who have taken Mergers and Acquisitions (646DR).
